The Senior Contract Negotiator will assist the business unit and attorneys with preparation and review of contract documents by researching complex issues, drafting, preparing and reviewing contracts, agreements, and proposals.

  • For the assigned business unit, this position will prepare and assist in the negotiation of contracts and ensure all proper review and controls are complied with. The position will need to understand business unit requirements and ensure that the functional needs of the business unit are being met by the contractual documents.
    • Choreograph the contract negotiation process, which includes obtaining input from and planning the negotiation strategy.
    • Act as a liaison between attorney, and business managers involved in the contracting process.
    • Evaluate and ensure financial, business and legal requirements are achieved throughout the negotiation process and any subsequent contract changes.
    • Draft routine form based documents, agreements and instruments: such as confidentiality agreements, contractor services agreements, master contractor service agreements, professional services master agreements, and other agreements as well as contract amendments, statements of work, and work orders.
    • Review and approve work orders and statements of work.
    • Provide initial review of third party agreements under supervision of attorney.
  • Vendor & Contract Compliance – Manage existing contracts, renewals of agreements, etc.  Activities include:
    • Monitor contract status and renew/terminate as applicable.
    • Manage and process renewals including assurance that the renewals comply with the applicable contract.
    • Assist with any customer/contract issues that arise during the lifecycle of the contract. Work with the applicable internal stakeholders, to understand the issue at hand; understand the historical business relationship with the customer; review the contract for legal protections; and develop a resolution strategy. The resolution strategy may include legal, the business owner, billing, management, and/or technical staff.
    • Assist the business unit with negotiation of contract changes and amendments as needed for new requirements – both internal and external.
    • Works within the SAP E-Sourcing Frictionless System to administer the overall NS construction contract process including: maintain qualified bidders list, prepare and send bid invitations, draft outside plant engineering project and master contracts (both bid and negotiated), secure required performance and payment bonds and certificates of insurance; Coordinate and conduct stimulus sealed bid openings, true-up contract pricing and substantiate detailed bid summary results for timely analysis and award.
    • Manage nationwide unit pricing data for use in preparing engineering estimates, enhancing the competitive bid process and evaluating bids. Work hand-in-hand with IS processing entries into NS Engineering Tool database. Partner with OSPE Customer Application Analysis sharing pricing information with MASCO sales engineers.
    • Develop and maintain a nationwide list of approved contractors securing credit risk analysis documentation, bidder financials and experience history, requesting and analyzing Dun & Bradstreet reports and performing reference queries to facilitate assurance of quality plant and services.
  • Enter and manage all contractual related information and documents in to the Contract Management System with all relevant information such as renewal dates, determining legally committed spend obligations, ensuring proper ongoing business owner, maintaining accurate contract hierarchy, and creating contract ‘Notification’ activities.
  • Work with legal, business requesters, accounting, and other key stakeholders to continuously improve the efficiency and effectiveness of the contract negotiation and review process. This may include identifying new standard form contracts to develop, updating existing standard form contracts for changing business needs, improving the end to end workflow, etc.


Required Qualifications:

  • Bachelor’s Degree (or higher) OR 4+ years professional work experience.
  • 5+ years of contract preparation and negotiations experience.

Other Qualifications:

  • Paralegal Certificate from an ABA certified program a plus.
  • Detailed knowledge of contract management and negotiation skills.
  • Detailed knowledge of legal definitions and contractual terms.
  • Thorough understanding of contract language, layout and content types.
  • Strong negotiation process.
  • Ability to develop working relationships with vendors and clients.
  • Practical experience in dealing frequently at Executive and Director Levels.
  • Demonstrable experience in planning, scheduling and control of multiple activities.
  • Thorough understanding of business issues and ability to contribute to business decisions.
  • Ability to lead by example and interact with all levels of the organization.
  • Excellent verbal and written communication skills (formal and informal).
